1. Scope
These Auction Terms ("Auction Terms") govern any auction, bidding, or marketplace features offered on petbreederdirectory.com and the Pet Breeder Hub platform (the "Platform"), operated by SARL MACHETTO DOUGLAS. These Auction Terms are currently in development and will apply to all auction-related functionality once launched.
These Auction Terms supplement the general Terms of Service. In the event of any conflict between these Auction Terms and the general Terms of Service, these Auction Terms shall prevail with respect to auction, bidding, and marketplace features.
By participating in any auction, placing a bid, or listing an animal for auction on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Auction Terms.
2. Platform Role
SARL MACHETTO DOUGLAS acts solely as a venue that facilitates connections between pet owners and sellers. SARL MACHETTO DOUGLAS is not a party to any transaction conducted through the auction or marketplace features. SARL MACHETTO DOUGLAS does not act as an auctioneer, broker, agent, or intermediary in any sale or purchase of animals.
SARL MACHETTO DOUGLAS does not transfer legal ownership of any animal, does not take possession of any animal at any point, and does not guarantee or facilitate the physical delivery or transport of any animal.
All contractual obligations arising from an auction or sale are exclusively between the pet owner and the seller. SARL MACHETTO DOUGLAS bears no responsibility for the performance, non-performance, or breach of any agreement between pet owners and sellers.
3. Seller Obligations
By listing an animal for auction or sale on the Platform, sellers represent and warrant that they:
- Are the legal owner of the animal or are duly authorized to sell the animal on behalf of the owner
- Provide truthful, accurate, and complete descriptions of the animal, including breed, age, health status, lineage, pedigree, and any known medical conditions or behavioral issues
- Hold all licenses, permits, and registrations required by applicable local, state, national, and international laws for the breeding and sale of animals
- Comply with all applicable animal welfare laws, regulations, and industry standards
- Do not misrepresent the health, lineage, breed, genetic testing results, or any other material characteristic of the animal
- Will honor the terms of any completed auction, including the final sale price and any conditions stated in the listing
Sellers who provide false or misleading information may have their listings removed, their accounts suspended or permanently terminated, and may be reported to relevant authorities.
4. Pet Owner Obligations
By placing a bid or making a purchase on the Platform, pet owners represent and warrant that they:
- Are at least 18 years of age and have the legal capacity to enter into a binding contract
- Understand that all bids constitute binding commitments to purchase the animal at the bid price if theirs is the winning bid
- Will complete payment in full and in a timely manner upon winning an auction or completing a purchase
- Comply with all applicable local, state, national, and international laws regarding the import, transport, and ownership of animals
- Are solely responsible for arranging and paying for the transport of any animal purchased through the Platform
- Will conduct their own due diligence regarding the animal, including requesting veterinary records and verifying seller claims, prior to bidding
Failure to complete a transaction after placing a winning bid may result in account suspension, permanent ban, and any other remedies available under applicable law.
5. Bidding Rules
All bids placed on the Platform are binding commitments. By submitting a bid, you agree to purchase the animal at the bid price if yours is the winning bid. Bids cannot be retracted once placed except in limited circumstances as determined by SARL MACHETTO DOUGLAS in its sole discretion.
The following conduct is strictly prohibited and will result in immediate account suspension or permanent ban:
- Shill bidding: placing bids on your own listings or colluding with others to artificially inflate prices
- Bid manipulation: any attempt to manipulate the bidding process, including the use of automated tools or scripts to place bids
- Bid shielding: placing artificially high bids to deter other bidders, with the intention of retracting the bid before the auction closes
- Fraudulent bidding: placing bids with no intention of completing the purchase
SARL MACHETTO DOUGLAS reserves the right to cancel any bid, auction, or listing that it suspects, in its sole discretion, involves prohibited bidding conduct. Any accounts found to be engaged in bid manipulation of any kind will be permanently banned from the Platform.
6. Payment & Fees
SARL MACHETTO DOUGLAS may charge platform fees in connection with auction and marketplace features. All applicable fees will be disclosed prior to listing or bidding. SARL MACHETTO DOUGLAS reserves the right to modify fee structures at any time with reasonable prior notice.
All payments are processed through Stripe, our third-party payment processor. By making a payment through the Platform, you also agree to Stripe's terms of service and privacy policy.
Sellers will receive the proceeds of a completed sale minus any applicable platform fees and payment processing charges. Proceeds are disbursed according to the payout schedule published on the Platform at the time of the sale.
SARL MACHETTO DOUGLAS reserves the right to withhold or delay disbursement of proceeds if it suspects fraudulent activity, a violation of these Auction Terms, or as otherwise required by applicable law.
7. Disputes Between Parties
Any disputes arising from transactions conducted through the auction or marketplace features are solely between the pet owner and the seller. SARL MACHETTO DOUGLAS is not a party to any such dispute and has no obligation to resolve, mediate, or adjudicate disputes between users.
SARL MACHETTO DOUGLAS may, at its sole discretion, offer optional mediation services to help facilitate dispute resolution between pet owners and sellers. Any such mediation is voluntary and non-binding unless both parties expressly agree otherwise. If SARL MACHETTO DOUGLAS elects to provide a decision in any mediation process, that decision shall be final and binding on both parties.
SARL MACHETTO DOUGLAS shall not be liable for any loss, damage, or expense arising from or in connection with any dispute between pet owners and sellers, regardless of whether SARL MACHETTO DOUGLAS participates in mediation.
8. No Guarantees
SARL MACHETTO DOUGLAS makes no representations, warranties, or guarantees of any kind regarding any animal listed, sold, or purchased through the Platform. This includes, without limitation, no guarantees regarding:
- The health, genetic condition, temperament, or life expectancy of any animal
- The accuracy, completeness, or truthfulness of any listing, description, photograph, or other information provided by sellers
- The identity, qualifications, reputation, or reliability of any seller or pet owner
- The outcome, completion, or satisfaction of any transaction
- The legality of any transaction under the pet owner's or seller's applicable local laws
Users participate in auctions and marketplace features entirely at their own risk. SARL MACHETTO DOUGLAS strongly recommends that pet owners conduct thorough independent due diligence before placing any bid or completing any purchase.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SARL MACHETTO DOUGLAS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE AUCTION AND MARKETPLACE FEATURES SHALL NOT EXCEED THE TOTAL PLATFORM FEES PAID BY YOU TO SARL MACHETTO DOUGLAS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL SARL MACHETTO DOUGLAS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, ANIMAL VALUE, VETERINARY COSTS, TRANSPORTATION COSTS, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE AUCTION OR MARKETPLACE FEATURES, REGARDLESS OF THE THEORY OF LIABILITY.
You agree to fully indemnify, defend, and hold harmless SARL MACHETTO DOUGLAS, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your participation in any auction or marketplace transaction; (b) any dispute between you and another user; (c) your violation of these Auction Terms; (d) your violation of any applicable law; or (e) any claim by a third party related to an animal you have listed, sold, or purchased through the Platform.
10. Animal Welfare
All auctions, listings, and transactions conducted through the Platform must comply with all applicable animal welfare laws and regulations, including but not limited to laws governing the breeding, sale, transport, and importation of animals.
SARL MACHETTO DOUGLAS reserves the right, at its sole discretion, to cancel, remove, or suspend any listing or auction that appears to violate animal welfare standards, including but not limited to:
- Listings involving animals that appear to be in poor health, distress, or unsafe conditions
- Listings involving species or breeds whose sale is prohibited or restricted under applicable law
- Listings that promote or facilitate puppy mills, kitten mills, or other high-volume, low-welfare breeding operations
- Listings that lack adequate health documentation or veterinary records
Users who are found to be in violation of animal welfare laws or standards may have their accounts permanently terminated and may be reported to relevant animal welfare authorities and law enforcement agencies.
