Breeder Agreement | Pet Breeder Hub

1. Agreement Overview

This Breeder Agreement ("Agreement") constitutes a legally binding contract between you ("Breeder," "you," or "your") and SARL MACHETTO DOUGLAS, a company organized under the laws of France, operating the website petbreederdirectory.com and the Pet Breeder Hub platform (collectively, the "Service").

By creating a breeder listing, claiming an existing listing, or otherwise participating as a breeder on the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement in addition to the Pet Breeder Hub Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall take precedence with respect to breeder-specific matters.

SARL MACHETTO DOUGLAS reserves the right to modify this Agreement at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued participation as a listed breeder after modifications constitutes acceptance of the revised Agreement.

2. Listing Requirements

As a breeder listed on Pet Breeder Hub, you represent, warrant, and agree that:

All information provided in your listing, including but not limited to business name, location, breeds offered, pricing, health testing practices, and contact details, is accurate, truthful, and current
You hold all valid business licenses, permits, and registrations required by your local, state, provincial, and federal jurisdictions to operate as a breeder
You comply with all applicable local, state, provincial, federal, and international laws and regulations governing animal breeding, sales, and welfare
You adhere to recognized animal welfare standards and provide humane living conditions, proper nutrition, veterinary care, and socialization for all animals in your care
You will promptly update your listing to reflect any material changes to your operations, certifications, or contact information

SARL MACHETTO DOUGLAS reserves the right to request documentation verifying any claims made in your listing. Failure to provide such documentation upon request may result in suspension or removal of your listing.

3. Verification Process

Pet Breeder Hub offers a voluntary verification process for breeders. This process involves identity verification conducted through Stripe Identity, our third-party verification provider. By opting into verification, you consent to the collection and processing of personal identification documents as required by Stripe Identity.

Upon successful completion of the verification process, your listing will display a "Verified" badge. This badge indicates only that you have completed our identity verification process. It does not constitute an endorsement, guarantee, certification, or recommendation by SARL MACHETTO DOUGLAS of your breeding practices, the quality or health of your animals, your compliance with applicable laws, or any other aspect of your operations.

SARL MACHETTO DOUGLAS reserves the right to revoke the "Verified" badge at any time if it determines, in its sole discretion, that the breeder has violated this Agreement, the Terms of Service, or any applicable law or regulation.

4. Subscription & Fees

Breeder listings on Pet Breeder Hub may require a paid subscription. All fees are billed by SARL MACHETTO DOUGLAS and processed through Stripe, our third-party payment processor. By subscribing, you also agree to Stripe's terms of service.

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize SARL MACHETTO DOUGLAS to charge the applicable fees to your designated payment method on each billing cycle.

Subscription fees are generally non-refundable except as expressly stated in the Pet Breeder Hub Terms of Service or as required by applicable law. SARL MACHETTO DOUGLAS may, in its sole discretion, offer pro-rated refunds for annual subscriptions cancelled within 14 days of purchase or renewal.

Failure to pay subscription fees when due may result in immediate suspension of your listing. Suspended listings will not appear in search results or be accessible to users until payment is resolved.

5. Content & Photos

By submitting content to your breeder listing, including but not limited to text descriptions, photographs, videos, certifications, and health records ("Breeder Content"), you grant SARL MACHETTO DOUGLAS a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Service, including for promotional and marketing purposes.

You represent and warrant that all Breeder Content:

Is truthful, accurate, and not misleading in any way
Does not infringe any third-party intellectual property or privacy rights
Complies with all applicable laws and regulations

All photographs submitted must depict actual animals that you breed or have bred. The use of stock photographs, images sourced from the internet, or photographs of animals not in your breeding program is strictly prohibited. SARL MACHETTO DOUGLAS reserves the right to remove any content that it determines, in its sole discretion, violates this requirement.

6. Prohibited Practices

As a breeder listed on Pet Breeder Hub, you agree that you will not engage in any of the following prohibited practices:

Puppy mills and high-volume commercial breeding: Operating a facility that prioritizes profit over the health and well-being of animals, including overcrowded or unsanitary conditions, inadequate veterinary care, or continuous breeding without regard for the physical health of breeding animals
False health claims: Making false, misleading, or unsubstantiated claims about the health, genetic testing, vaccinations, or medical history of any animal
Misrepresentation of lineage: Falsifying, fabricating, or misrepresenting pedigree records, registration documents, or the lineage of any animal
Breeding banned breeds: Breeding or selling breeds that are prohibited or restricted by applicable local, state, provincial, or federal law in the jurisdiction where you operate or where the buyer resides
Selling sick animals knowingly: Selling, transferring, or offering for sale any animal that you know or reasonably should know to be ill, injured, or suffering from a communicable disease or genetic defect, without full disclosure to the buyer
Animal cruelty or neglect: Engaging in any form of animal cruelty, abuse, neglect, or any practice that violates applicable animal welfare laws
Deceptive practices: Engaging in any deceptive, fraudulent, or misleading conduct in connection with your breeding operations or your listing on the Service

Violation of any prohibited practice may result in immediate removal of your listing and permanent ban from the Service, without refund and without prior notice.

7. Review Handling

Pet Breeder Hub allows users to submit reviews and ratings of breeders. As a listed breeder, you acknowledge and agree to the following:

No intimidation: You must not threaten, harass, intimidate, or retaliate against any user who submits a review, regardless of whether the review is positive or negative
No incentivized reviews: You must not offer compensation, discounts, free products, or any other incentive in exchange for positive reviews
No fake reviews: You must not submit, solicit, or facilitate the submission of false, fabricated, or misleading reviews for your own listing or for any other breeder's listing
Professional responses: You may respond to reviews in a professional and courteous manner in accordance with the Pet Breeder Hub Review Policy. Responses that contain threats, personal attacks, or inappropriate language may be removed

If you believe a review is defamatory, fraudulent, or otherwise violates the Pet Breeder Hub Terms of Service, you may report it through the designated reporting mechanism. SARL MACHETTO DOUGLAS will review reported content in accordance with its policies but is not obligated to remove any review.

8. Indemnification

You agree to indemnify, defend, and hold harmless SARL MACHETTO DOUGLAS, its officers, directors, employees, agents, affiliates, and partners (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your breeder listing and any content contained therein; (b) any animal bred, sold, transferred, or otherwise provided by you; (c) your breeding practices, facilities, or operations; (d) any dispute between you and any buyer, adopter, or other third party; (e) your violation of this Agreement or the Terms of Service; or (f) your violation of any applicable law, regulation, or the rights of any third party. This indemnification obligation shall survive the termination of this Agreement.

9. Termination

Either party may terminate this Agreement at any time. You may terminate by cancelling your subscription and requesting removal of your listing through your account settings or by contacting SARL MACHETTO DOUGLAS directly.

SARL MACHETTO DOUGLAS may suspend or remove your listing immediately, without prior notice, if it determines, in its sole discretion, that you have violated this Agreement, the Terms of Service, or any applicable law or regulation. SARL MACHETTO DOUGLAS may also terminate listings that have been inactive for an extended period or for any other reason deemed necessary to maintain the quality and integrity of the Service.

No refund will be issued for accounts terminated due to violations of this Agreement or the Terms of Service. Upon termination, your listing will be removed from the Service, and your access to breeder-specific features will be revoked. Provisions that by their nature should survive termination shall survive, including but not limited to: indemnification, limitation of liability, and any outstanding payment obligations.

10. Limitation of Liability

SARL MACHETTO DOUGLAS is not a party to any transaction between breeders and buyers. The Service is a directory and informational platform only. SARL MACHETTO DOUGLAS does not breed, sell, buy, broker, or transfer any animals.

SARL MACHETTO DOUGLAS shall not be liable for any disputes, claims, damages, losses, or injuries arising from or related to: (a) any transaction between you and any buyer, adopter, or other third party; (b) the health, condition, temperament, or lineage of any animal; (c) any representations or warranties made by you to any third party; or (d) any action or inaction by any buyer, adopter, or other third party.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SARL MACHETTO DOUGLAS OR ANY INDEMNIFIED PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SARL MACHETTO DOUGLAS FOR ALL CLAIMS RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SARL MACHETTO DOUGLAS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of France, without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to this Agreement shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of France.
